1. Acceptance of These Terms

By accessing this website or engaging LIMITED CO. FMSPORTSMEDIA for any production service, you confirm that you have read, understood and agreed to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not use the website and you should not engage our services.

Where you accept these terms on behalf of a league, club or other organisation, you confirm that you have the authority to bind that organisation, and references to you in these terms include that organisation. Where an organisation has signed a separate written production agreement with us, that agreement governs to the extent of any conflict, and these terms fill any gap the agreement leaves open.

We may require additional documentation before a coverage window is confirmed, such as venue access approvals, insurance certificates or signed event permissions. These terms remain in force whether or not such documentation is requested on a particular engagement.

2. Services We Provide

LIMITED CO. FMSPORTSMEDIA provides broadcast replay and sports media production services. Our service catalogue includes multi-camera event coverage, replay and review operations, highlight package production, live graphics and scoring overlays, media asset management and broadcast logistics support.

Each service is delivered according to a coverage plan agreed with the client. The plan sets out the number of cameras, the replay lanes, the graphics package, the delivery formats and the turnaround times that apply to a fixture or a season. Where a client requests a change after the plan is agreed, we will confirm whether the change affects the schedule, the fee or the technical feasibility.

Service availability depends on the venue, the calendar and the condition of the equipment. We will tell you plainly if a requested window cannot be served, and we will propose an alternative rather than accept a booking we cannot honour.

3. Bookings and Coverage Windows

A booking request becomes a confirmed coverage window only when we acknowledge it in writing and the client accepts the associated fee estimate. Requests are dated when they reach the production desk, and coverage windows are assigned in that order where demand exceeds capacity.

A confirmed window reserves crew, equipment and replay lanes for the agreed dates. A client who needs to move a confirmed window should notify us as early as possible. Where a change is made close to the event, we may be unable to reassign the reserved resources, and a change fee may apply.

We may decline a booking where a venue presents unacceptable safety risks, where the requested coverage cannot be delivered to a professional standard, or where the client has unpaid balances from previous engagements. We will explain the reason for any refusal so that the client can address it.

4. Fees, Invoicing and Payment

Fees for production services are set out in the coverage plan or the written estimate. Unless the plan states otherwise, fees cover the crew, equipment, production time and standard delivery described in the plan. Travel, accommodation, venue charges and unusual equipment needs are quoted separately where they apply.

Invoices are issued according to the schedule in the plan, which may include a deposit before the build, a progress payment during a season and a final balance after the last delivery. Invoices are payable within the period stated on the invoice. Amounts that remain unpaid beyond that period may attract interest at the rate permitted by applicable law.

The client is responsible for any tax that applies to the services, other than tax on our own income. Where a withholding tax applies, the client should provide the documentation required so that we can claim any available credit.

If a client disputes part of an invoice, the client should pay the undisputed portion and raise the disputed portion in writing within the period stated on the invoice. We will review the dispute in good faith and respond promptly.

5. Client Responsibilities

The client is responsible for providing accurate information about the event, the venue and the people who will be present. This includes fixture times, access arrangements, contact details for venue staff and any league rule that affects what may be filmed or published.

The client is responsible for obtaining the permissions needed to film the event, including any permission required from players, officials, coaches, spectators, the venue owner or a governing body. We assist with planning and we may provide documentation to support those permissions, but the responsibility for obtaining them rests with the client.

The client should nominate a single point of contact who can make decisions on match day, such as approving a change of camera position or confirming a graphics correction. A clear decision maker keeps the production moving and avoids delays that affect the whole broadcast.

6. Venue Access and Safety

The client will arrange access to the venue at the times needed to build, test and operate the production. This includes access for crew, vehicles and equipment, and a safe location to stage cases and cable runs.

Safety takes priority over every other production consideration. Our crew may stop work at a position that becomes unsafe, may reroute cables to protect the public, and may refuse an instruction that would put people or equipment at unacceptable risk. We will explain the reason and propose a safe alternative.

Where a venue requires induction, accreditation or protective equipment, the client will arrange it in advance and tell us what is required. Where our equipment could be damaged by venue conditions such as water, dust or power instability, we will raise the concern and agree a mitigation before the build.

7. Media Rights and Ownership

The client retains ownership of the underlying event and the right to broadcast and publish its competition. LIMITED CO. FMSPORTSMEDIA retains ownership of its equipment, its internal production systems, its templates and its working files.

The client receives the delivered coverage, replay stack, highlight packages and archive according to the licence in the coverage plan. Unless the plan states otherwise, the licence allows the client to broadcast, stream and publish the delivered material for its own competition purposes, and it does not transfer ownership of our production systems or our reusable templates.

We may request the right to use short excerpts of delivered material to illustrate our services on this website or in a portfolio, and we will only do so where the client agrees and where doing so complies with the league rules and personal privacy. A client may withdraw that permission by written notice, and we will remove the excerpts within a reasonable period.

Raw camera masters, working files and internal project data remain with us unless the plan expressly provides for their transfer. Where a client requires a copy of raw masters, we will agree the format, the scope and any fee in the coverage plan.

8. Deliverables and Turnaround

Deliverables and turnaround times are stated in the coverage plan. Common examples include same-day highlight packages, a marked replay stack delivered before the next fixture and a full archive handover within the agreed window.

Turnaround times begin when the last relevant recording is available to our editors, not when the final whistle sounds, unless the plan says otherwise. Where a client requests a faster turnaround, we will confirm whether the production desk can meet it and whether a priority fee applies.

We deliver files in the formats, resolutions and aspect ratios stated in the plan. If a client later needs a different format, we will quote the conversion work. We keep a delivery record for each asset so that both parties can confirm what was supplied and when.

9. Acceptable Use of the Website

You may browse this website and use its contact features for lawful purposes connected with our services. You may not attempt to gain unauthorised access to any part of the site or its systems, interfere with its operation, or use automated tools to harvest content or contact details.

You may not use this website to transmit unlawful, harmful, misleading or infringing material, and you may not impersonate another person or organisation when contacting us. We may block access and report conduct that appears to breach the law.

The website is provided for information. Prices, availability and service descriptions may change, and nothing on the website is a binding offer until it is confirmed in a written coverage plan.

10. Intellectual Property

The text, layout, graphics, code and design of this website are protected by intellectual property law and belong to LIMITED CO. FMSPORTSMEDIA or its licensors. You may view and print pages for your own reference, but you may not copy, republish or redistribute the website content for commercial purposes without written permission.

The FM Sports Media name, our logo and our service descriptions are our marks and materials. You may refer to our services factually, but you may not present our brand in a way that suggests endorsement or partnership without our agreement.

11. Confidentiality

Each party may receive information about the other that is not public, such as fixture plans, commercial terms, technical configurations and internal schedules. Each party agrees to use that information only for the purpose of the engagement and to protect it with reasonable care.

Confidentiality does not apply to information that is already public, that was lawfully known before the engagement, that is independently developed without reference to the other party, or that must be disclosed by law. Where disclosure is required, the disclosing party will give notice where it is lawful to do so.

On request, each party will return or securely destroy confidential material in its possession, except where retention is required for legal, accounting or archive purposes.

12. Service Standards and Warranty

We provide our services with the skill and care expected of a professional broadcast production company. We rehearse before gates open, we maintain spare equipment, and we follow written operating procedures on every fixture.

We do not warrant that a recording will be free of every technical fault, that a venue will provide uninterrupted power, or that a network link will never drop. Where a fault affects the delivered material, we will investigate, explain what happened and, where it is possible and proportionate, rework or replace the affected deliverable.

Except as stated in these terms or in a written coverage plan, we exclude all other warranties to the fullest extent the law allows. Nothing in these terms excludes a warranty or right that cannot lawfully be excluded.

13. Limitation of Liability

To the fullest extent permitted by law, LIMITED CO. FMSPORTSMEDIA is not liable for indirect, incidental, special or consequential losses, including lost profits, lost sponsorship, lost opportunity or damage to reputation, however those losses arise.

Our total liability arising from or connected with an engagement is limited to the total fees paid or payable by the client for the service that gave rise to the claim. Where a claim relates to a single fixture, the limit is the fee for that fixture.

These limits do not apply to fraud, wilful misconduct, or any liability that the law does not permit us to limit. The limits apply to the benefit of our directors, employees and contractors in respect of their work for us.

The client is responsible for insuring its own property and for the value it places on its reputation and commercial interests. We recommend that clients review their own insurance before a major broadcast.

14. Indemnity

The client agrees to indemnify LIMITED CO. FMSPORTSMEDIA against claims, losses and reasonable costs that arise from the client failing to obtain a required permission, from the client supplying inaccurate information about an event, or from the client using delivered material in a way that breaches the law, a league rule or the rights of another person.

We agree to indemnify the client against claims that arise from our own negligence in the delivery of the services or from our infringement of a third party intellectual property right in our own materials.

Where a claim is made under this section, the party seeking indemnity will give prompt notice, allow the other party to participate in the defence and cooperate reasonably. No settlement that admits fault will be entered without the consent of the indemnifying party, which will not be unreasonably withheld.

15. Suspension and Termination

Either party may terminate an engagement for material breach if the breach is not remedied within a reasonable period after written notice. We may suspend services immediately where a safety risk, a legal requirement or a serious payment default demands it.

On termination, the client pays for services delivered up to the termination date, including committed crew and equipment costs that cannot reasonably be recovered. We deliver material already produced, subject to payment, and we confirm the archive position so that the client knows what will be retained and for how long.

Terms that by their nature survive termination, such as confidentiality, intellectual property, liability limits and indemnities, continue in force after the engagement ends.

16. Force Majeure

Neither party is liable for a delay or failure caused by an event beyond its reasonable control. Such events include severe weather, natural disaster, fire, power failure, network failure, pandemic restrictions, civil disruption, industrial action and government action.

Where a force majeure event affects a confirmed coverage window, the affected party will notify the other promptly and the parties will discuss a rescheduled window, a reduced service or a fair adjustment of fees. Where the event continues for a prolonged period, either party may terminate the affected portion of the engagement without penalty beyond payment for work already performed.

17. Governing Law and Disputes

These terms are governed by the laws of the United States and the state in which LIMITED CO. FMSPORTSMEDIA operates, without regard to conflict of law rules. The parties submit to the exclusive jurisdiction of the courts located in that state for the resolution of disputes connected with these terms.

Before beginning formal proceedings, the parties agree to attempt to resolve a dispute through good faith discussion between senior representatives. If that discussion does not resolve the matter within a reasonable period, either party may pursue the remedies available at law.

Nothing in this section prevents either party from seeking urgent interim relief from a competent court where it is necessary to protect its rights or property.

18. Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our services, our operations or the law. When we make a material change, we will update the effective date at the top of this page and, where the change is significant, provide a clearer notice on the website.

Changes apply to future engagements and to continued use of the website after the update takes effect. An engagement governed by a signed production agreement is dealt with under that agreement, together with these terms as they applied when the engagement was confirmed.

We keep earlier versions of these terms in our records, and a partner may request the version that applied at an earlier date.
